BETWEEN GOSGRA PROPERTIES AND INVESTMENT LIMITED of 1B, Akinwale Street, Off Thomas Salako Street, Ogba, Ikeja Lagos State herein after called the VENDOR AND The buyer(s) WITNESSETH AS FOLLOWS:
- Gosgra Estate Phase 2, Orimerunmu, located at Orimerunmu, Ibafo behind Nasfat along Lagos Ibadan expressway, is the property of Gosgra Properties and Investment Limited.
- The product is a fully serviced plot of land herein after called the PROPERTY
- Outright payment for a property is N5,500,000.

- The Property is sold in its present condition and the Purchaser has inspected the same and that this agreement is entered into solely as a result of such inspection and on the basis of the terms hereof and not in reliance on any representation or warranty express or implied made by or on behalf of the Vendor.

GOSGRA ESTATE PHASE 2, ORIMERUNMU ESTATE RESTRICTIVE COVENANTS (PLEASE READ CAREFULLY) THESE ESTATE RESTRICTIVE COVENANTS are made once you submit this form. BETWEEN GOSGRA PROPERTIES & INVESTMENTS LIMITED of 1B, Akinwale Street, Off Thomas Salako Street, Ogba, Ikeja Lagos State (hereinafter referred to as “the Covenantor” which expression shall, where the context so admits, include its Assigns, Trustees and Successors-in-Title) of one part. AND The buyer(s) (hereinafter referred to as “the Covenantee” which expression shall, where the context so admits, include his Assigns, Trustees, Personal/Legal Representatives, Administrators and Executors) of the other part. WHEREAS:
1. The Covenantor is the promoter and the developer of the Estate known as Gosgra Estate Phase 2, Orimerunmu (hereinafter referred to as “the Estate”) wherein different plots and parcels of land were allotted to several persons, including the Covenantee, by the Covenantor. Hereinafter, the parcel of land allocated to the Covenantee shall be referred to as “the land”.
1. The parties hereto agree that, in order to ensure mutual harmony, peace of mind within the Estate, the covenants herein contained are necessary and unavoidable.

6. NOW THIS DEED WITNESSETH AS FOLLOWS:
1. It is hereby agreed between the parties that the Covenantor shall be at liberty to assign its rights and obligations under these covenants to its subsidiary or any other assign. Any such assign of the Covenantor shall be equally bound by the terms hereof.
1. The Covenantee shall pay to the Covenantor the sum hereunder prescribed as Development Levy and Survey Plan Fee.
1. Any dispute between the parties herein shall be settled by arbitration and/or conciliation (whichever is preferred by the party initiating the process) under the Arbitration and Conciliation Act, Cap. A18, Laws of the Federation, 2004 or any Law for the time being in force in respect thereof.
1. Individual will process their C of O and perfect their document by themselves with the ministry of lands, the Covenantor shall not be liable for the processing of any document as agreed in the FAQ.
THE COVENANTEE HEREBY COVENANTS AS FOLLOWS:.
1. Construction: The construction work and fencing of the perimeters of the land must commence not later than two months after physical allocation of the land by the Covenantor to the Covenantee. Failure to comply with this shall result to re-allocation of another parcel of land in an undeveloped part of the Estate without notice (you shall also bear the cost of survey plan of the new location). If still fail to develop the undeveloped part allocated to you within one month it shall result to revocation of contract and the actual money paid for the land shall be forfeited.
For the purpose of these Covenants, allocation shall be deemed to have been made on the date site allocation (physical handover) of the land is scheduled by the Covenantor even if the Covenantee was absent thereat.
1. Land Transactions: Covenantee has the power to sell, assign or lease without the approval of the Covenantor. But note that, only the sales or assignment that the Covenantor is aware of is legal. The Sum of N100,000 shall be paid by the Covenantee or the new buyer to the Covenantor for change of name.
2. Deed of Assignment and Survey Plan: Deed of Assignment and Survey plan can only be provided by the Covenantor to avoid misunderstanding within the Estate, these documents cost N70,000 AND N100,000 each.
1. Building Construction: If as a result of constructing your property or properties in our Estate and company’s property(ies) got damaged either by your engineer or supplier you shall replace the damaged property and also your construction or constructions work shall stop until such replacement is done.

1. Residential/Commercial use:
- Residential Use: All of the property in the residential zone shall not be used for business, commercial, or any industrial or manufacturing purposes.
- Commercial Use: All of the property in the commercial zone or designated as commercial shall not be used for any light or heavy industrial purpose or any other form of use that will expose the security of the Estate. Land purchased for commercial use shall strictly be for the purpose of its purchased i.e. if purchase for school or healths center it shall be for that purpose alone. If there will be a change, the Covenantor must be notify if the location will be suitable for the new purpose. Also, adequate consultation shall be made before the approval.
Please note: Under no circumstances/reason should anyone or group of people change the name of the Estate and Street. The name Gosgra Estate Phase 2, Orimerunmu and the structure in it remain unchanged.
1. Development: All new developments on the property, whether new or as an addition to the existing structure, shall comply with the following restrictions:
- Entrance/Exit: No property must be developed to have entrance or exit on the perimeters of the estate except the fontal commercial plots and no tenement structures or single rooms shall be constructed in the estate.
- Common Wall Construction Prohibited: No development shall be constructed to share a common wall with another development, nor shall any development be constructed so that any anterior of such development is within three (3) meters of an exterior wall of another development. This restriction does not apply if the development is designed as terrace or semi-detached house.
1. Temporary Structure: No mobile or “manufactured” homes, trailers, structures of a temporary character, recreational vehicle,Kiosks, tent, shack, garage, barn, or other out buildings shall be parked in public right-of-way.
2. Rubbish, Trash and Garbage: No property shall be used or maintained as a dumping ground for rubbish or trash, and garbage or other waste shall be kept except in sanitary containers. All incinerators or other equipment for the storage and disposal or such materials shall be kept in a clean and sanitary condition.
1. Painting: Covenantee or tenant is not allowed to move in to the building without been painted at least from the outside.
1. To avoid Dust: Covenantee or tenant shall not be allowed to move into his or her compound without full flooring wall to wall of the compound.
1. Interment: Not to inter or bury any person or any type of animal within the land or any part of the Estate.
1. Count your Cost: Peradventure you commence a building project that is beyond your financial ability and you are unable to complete the project, if it begins to pose a nuisance or constituting a danger to the estate or estate users, the management of Gosgra shall have no option than to take over such project/land without paying any compensation to the owner or refund of any form of money.

1. Political/Religious Gathering: No gathering of any type either political or religious i.e church or mosque or any form of public demonstration of any kind is allowed in the estate. Only the residence association meeting is allowed in the estate.
1. Pets: No animals, except dogs, cats, caged birds, fish and tanks, and other small household pets, will be permitted in the estate. Dogs shall not be allowed to run at large or to create a disturbance for other owners in the estate. Leashed animals are permitted with right-of-way when accompanied by their owners. Effort shall be made by the person accompanying the animal to exercise “scooping” of animal waste.
1. Fireworks: The sale and use of fireworks of any kind whatsoever is strictly prohibited on any property within the Estate.
1. Property Use Restrictions: Without prior approval by Estate Management and appropriate Government authorities where necessary no structure may be used for any purpose other than that for which it was originally approved. No professional or home industry may be conducted from a residential property. Approval may be granted if the activity is shown to be compatible with the residential character of the neighborhood. No development shall be constructed which exceeds the allowable height set forth in the Ogun State Zoning Code for the zone.
1. Vehicles: No vehicle is allowed to be parked overnight on the road.
1. Dumping in Common Areas, Common Maintenance of Areas and Easements: No trash, constructive debris or waste, plants or grass clippings or other debris of any kind, nor hazardous waste (as defined in any Federal, State or Local Law or Regulation) shall be dumped or placed on any common area or common maintenance area.
1. Duration: The covenants, conditions and restrictions in this agreement shall run with and bind the land, and shall inure to the benefit of, and be enforceable by and against the parties hereto and their heirs, assigns, trustees, executors, personal and legal representatives and successors-in title, as the case may be. The covenants shall run in perpetuity unless terminated or determined by mutual consent of the parties.
1. Severability: Invalidation of any one of these covenants or restrictions by judgment or court order shall in no way affect any other provision, and all other provisions shall remain in full force and effect.
1. Failure to comply in title: Refusal to comply with the Estate covenant could lead to revocation of this allocation. And actual money paid for the land shall be forfeited.
NOTE: Only 80% of the landlord/landlady residing in the Estate can change any of the Estate covenant but the name of the Estate, the structure and Street cannot be change or amend under whatsoever circumstance. 9.

Dogs shall not be allowed to run at large or to create a disturbance for other owners in the estate. Leashed animals are permitted with right-of-way when accompanied by their owners. Effort shall be made by the person accompanying the animal to exercise “scooping” of animal waste.
17. Fireworks: The sale and use of fireworks of any kind whatsoever is strictly prohibited on any property within the Estate.
18. Property Use Restrictions: Without prior approval by Estate Management and appropriate Government authorities where necessary no structure may be used for any purpose other than that for which it was originally approved. No professional or home industry may be conducted from a residential property. Approval may be granted if the activity is shown to be compatible with the residential character of the neighborhood. No development shall be constructed which exceeds the allowable height set forth in the Ogun State Zoning Code for the zone.
19. Vehicles: No vehicle is allowed to be parked overnight on the road.
20. Dumping in Common Areas, Common Maintenance of Areas and Easements: No trash, constructive debris or waste, plants or grass clippings or other debris of any kind, nor hazardous waste (as defined in any Federal, State or Local Law or Regulation) shall be dumped or placed on any common area or common maintenance area.
21. Duration: The covenants, conditions and restrictions in this agreement shall run with and bind the land, and shall inure to the benefit of, and be enforceable by and against the parties hereto and their heirs, assigns, trustees, executors, personal and legal representatives and successors-in title, as the case may be. The covenants shall run in perpetuity unless terminated or determined by mutual consent of the parties.
22. Severability: Invalidation of any one of these covenants or restrictions by judgment or court order shall in no way affect any other provision, and all other provisions shall remain in full force and effect.
23. Failure to comply in title: Refusal to comply with the Estate covenant could lead to revocation of this allocation. And actual money paid for the land shall be forfeited.
NOTE: Only 80% of the landlord/landlady residing in the Estate can change any of the Estate covenant but the name of the Estate, the structure and Street cannot be change or amend under whatsoever circumstance. WITNESSETH AS FOLLOWS: • Gosgra Estate Phase 2, Orimerunmu, located at Orimerunmu, Ibafo behind Nasfat along Lagos Ibadan expressway, is the property of Gosgra Properties and Investment Limited. • The product is Serviced Plot of Land herein after called the PROPERTY • Instalment price for residential plot of land was N5,000,000 (Five Million Naira Only) per plot, but now sold at a discounted price of N4,000,000 (Four Million Naira) per plot. With a deposit of 20% of N4,000,000, the subscriber gets an instant allocation of plot, and the balance spread over 24 months. • Size of property: 50ft X 100ft. or 460sqm • The Property is sold in its present condition and the Purchaser has inspected the same and that this agreement is entered into solely as a result of such inspection and on the basis of the terms hereof and not in reliance on any representation or warranty express or implied made by or on behalf of the Vendor. • The Purchaser is buying this land or lands based on current information at disposal as at the date of this sale. GOSGRA ESTATE PHASE 2, ORIMERUNMU ESTATE RESTRICTIVE COVENANTS (PLEASE READ CAREFULLY) THESE ESTATE RESTRICTIVE COVENANTS are made once you submit this form. BETWEEN GOSGRA PROPERTIES & INVESTMENTS LIMITED of 1B, Akinwale Street, Off Thomas Salako Street, Ogba, Ikeja Lagos State (hereinafter referred to as “the Covenantor” which expression shall, where the context so admits, include its Assigns, Trustees and Successors-in-Title) of one part. AND The buyer(s) (hereinafter referred to as “the Covenantee” which expression shall, where the context so admits, include his Assigns, Trustees, Personal/Legal Representatives, Administrators and Executors) of the other part. WHEREAS:
1. The Covenantor is the promoter and the developer of the Estate known as Gosgra Estate Phase 2, Orimerunmu (hereinafter referred to as “the Estate”) wherein different plots and parcels of land were allotted to several persons, including the Covenantee, by the Covenantor. Hereinafter, the parcel of land allocated to the Covenantee shall be referred to as “the land”.
1. The parties hereto agree that, in order to ensure mutual harmony, peace of mind within the Estate, the covenants herein contained are necessary and unavoidable.
1. This Present is to give effect to the agreements aforesaid.
6. NOW THIS DEED WITNESSETH AS FOLLOWS:
1. It is hereby agreed between the parties that the Covenantor shall be at liberty to assign its rights and obligations under these covenants to its subsidiary or any other assign. Any such assign of the Covenantor shall be equally bound by the terms hereof.
1. The Covenantee shall pay to the Covenantor the sum hereunder prescribed as Development Levy and Survey Plan Fee.
1. Any dispute between the parties herein shall be settled by arbitration and/or conciliation (whichever is preferred by the party initiating the process) under the Arbitration and Conciliation Act, Cap. A18, Laws of the Federation, 2004 or any Law for the time being in force in respect thereof.
1. Individual will process their C of O and perfect their document by themselves with the ministry of lands, the Covenantor shall not be liable for the processing of any document as agreed in the FAQ.
THE COVENANTEE HEREBY COVENANTS AS FOLLOWS:.
1. Development Levy: To pay 20% of the cost of purchase as Development Levy for the provision of the perimeter fencing, road network, graded earth road, security houses etc. in the Estate. The said Levy is to be paid before physical plot allocation or immediately after payment for the land has been completed. If not paid six months after land payment has been completed it shall result to revocation of contract and the actual money paid for the land shall be forfeited.
1. Construction: The construction work and fencing of the perimeters of the land must commence not later than two months after physical allocation of the land by the Covenantor to the Covenantee. Failure to comply with this shall result to re-allocation of another parcel of land in an undeveloped part of the Estate without notice (you shall also bear the cost of survey plan of the new location). If still fail to develop the undeveloped part allocated to you within one month it shall result to revocation of contract and the actual money paid for the land shall be forfeited.
For the purpose of these Covenants, allocation shall be deemed to have been made on the date site allocation (physical handover) of the land is scheduled by the Covenantor even if the Covenantee was absent thereat.
1. Land Transactions: Covenantee has the power to sell, assign or lease without the approval of the Covenantor. But note that, only the sales or assignment that the Covenantor is aware of is legal. The Sum of N100,000 shall be paid by the Covenantee or the new buyer to the Covenantor for change of name.
2. Deed of Assignment and Survey Plan: Deed of Assignment and Survey plan can only be provided by the Covenantor to avoid misunderstanding within the Estate, these documents cost N70,000 AND N100,000 each.
1. Building Construction: If as a result of constructing your property or properties in our Estate and company’s property(ies) got damaged either by your engineer or supplier you shall replace the damaged property and also your construction or constructions work shall stop until such replacement is done.

1. Residential/Commercial use:
- Residential Use: All of the property in the residential zone shall not be used for business, commercial, or any industrial or manufacturing purposes.
- Commercial Use: All of the property in the commercial zone or designated as commercial shall not be used for any light or heavy industrial purpose or any other form of use that will expose the security of the Estate. Land purchased for commercial use shall strictly be for the purpose of its purchased i.e. if purchase for school or healths center it shall be for that purpose alone. If there will be a change, the Covenantor must be notify if the location will be suitable for the new purpose. Also, adequate consultation shall be made before the approval.
Please note: Under no circumstances/reason should anyone or group of people change the name of the Estate and Street. The name Gosgra Estate Phase 2, Orimerunmu and the structure in it remain unchanged.
1. Development: All new developments on the property, whether new or as an addition to the existing structure, shall comply with the following restrictions:
- Entrance/Exit: No property must be developed to have entrance or exit on the perimeters of the estate except the fontal commercial plots and no tenement structures or single rooms shall be constructed in the estate.
- Common Wall Construction Prohibited: No development shall be constructed to share a common wall with another development, nor shall any development be constructed so that any anterior of such development is within three (3) meters of an exterior wall of another development. This restriction does not apply if the development is designed as terrace or semi-detached house.
1. Temporary Structure: No mobile or “manufactured” homes, trailers, structures of a temporary character, recreational vehicle,Kiosks, tent, shack, garage, barn, or other out buildings shall be parked in public right-of-way.
2. Rubbish, Trash and Garbage: No property shall be used or maintained as a dumping ground for rubbish or trash, and garbage or other waste shall be kept except in sanitary containers. All incinerators or other equipment for the storage and disposal or such materials shall be kept in a clean and sanitary condition.
1. Painting: Covenantee or tenant is not allowed to move in to the building without been painted at least from the outside.
1. To avoid Dust: Covenantee or tenant shall not be allowed to move into his or her compound without full flooring wall to wall of the compound.
1. Interment: Not to inter or bury any person or any type of animal within the land or any part of the Estate.
1. Count your Cost: Peradventure you commence a building project that is beyond your financial ability and you are unable to complete the project, if it begins to pose a nuisance or constituting a danger to the estate or estate users, the management of Gosgra shall have no option than to take over such project/land without paying any compensation to the owner or refund of any form of money.

1. Political/Religious Gathering: No gathering of any type either political or religious i.e church or mosque or any form of public demonstration of any kind is allowed in the estate. Only the residence association meeting is allowed in the estate.
